VVSEAI Event | Jakarta | How To Ace Your Due Diligence at Series A

In June 2023, we launched our Vertex Knowledge series in Jakarta with the event "How to Ace your Tech Due Diligence at Series A with Vertex Ventures & AWS".

Held at WeWork coworking space in Jakarta, this engaging session was led by experts - Amazon Web Services (AWS)'s Head of Startups, Jerome Poudevigne, and our Partner, Gary Khoeng. Due Diligence process at different stages of the startup journey requires different information and documents. Series A stage would be more stringent compared to Seed stage. Our speakers shared their insights on how the due diligence process looks like at Series A, and unpacked the challenges startups commonly face at this pivotal stage. Our expert panel provided our participants with valuable insights to navigate their way successfully.

Here are some of the highlights that they shared about Tech Due Diligence at Series A:

• Technology is crucial in helping a startup to grow their business, which is why it is important to assess whether the technology is built well and will be able to 'grow' with the company. It is imperative for startups to document and assess the level of core technology assets, intellectual property, and open-source licenses, to not only get a clearer picture of the startup's capabilities.
• There is no fundamental “good” or “bad” in the processes or structures of the company and when it comes to the due diligence process, the auditor will expect the startup to explain their decisions, the trade-offs that have been made, and whether they has plans to address issues with the existing infrastructure.
• In conclusion, there is no expectation for startups to be perfect. It is much better to know the fault lines and to have a plan to address them than to try to hide them.
